Terms governing access to and use of SureDeal.
1. Acceptance of these Terms
By creating an account, accessing SureDeal, creating or claiming a SureDeal, accepting transaction terms, making or receiving a payment, or otherwise using the service, you agree to these Terms & Conditions and any transaction-specific terms shown to you.
If you do not agree, you should not use SureDeal.
2. About SureDeal
SureDeal provides technology intended to help customers and providers document transaction terms, manage deposit-related workflows, maintain transaction records, communicate status, support provider verification and risk checks, and facilitate dispute handling.
SureDeal is not the provider, seller, landlord, renter, contractor, venue, service professional, or customer in the underlying transaction. The customer and provider are responsible for deciding whether to transact and for performing their obligations.
3. Accounts and provider profiles
You must provide accurate information, keep your account secure, and promptly update information that becomes inaccurate. You are responsible for activity performed through your account except where applicable law provides otherwise.
An account may maintain up to one Business Provider Profile and one Individual Provider Profile under the current product rules. Each profile may participate in multiple legitimate SureDeals.
- Do not impersonate another person or business.
- Do not claim a SureDeal intended for another provider.
- Do not create a SureDeal with yourself, fabricate transactions, or manipulate transaction history, verification, reviews, risk signals, deposits, refunds, or disputes.
- SureDeal may request additional information or verification before permitting certain account, payment, payout, or withdrawal activities.
4. Creating, claiming, and accepting a SureDeal
A SureDeal may record information supplied by the parties, including provider identity, service or item, dates, location, price, deposit amount, cancellation and rescheduling terms, completion conditions, and other agreed details. Each party is responsible for reviewing the transaction before accepting it.
SureDeal does not independently guarantee the accuracy of user-supplied transaction information or that either party has the legal authority, licenses, ownership rights, permits, insurance, or capacity necessary for the underlying transaction.
5. Deposits, payment processing, and safeguarded funds
Where payment functionality is offered, SureDeal may facilitate collection, holding, authorization, transfer, refund, or release of a deposit through one or more regulated or authorized payment, banking, e-money, acquiring, or other financial-service partners.
Unless SureDeal has expressly disclosed otherwise and has obtained any authorization required by applicable law, references in the app to a deposit being held, protected, secured, pending, or awaiting release do not mean that SureDeal itself is a bank, e-money issuer, trust company, licensed escrow agent, or deposit-taking institution.
Funds may be held or processed by a third-party financial institution or payment provider under that provider's applicable terms, safeguarding arrangements, settlement rules, processing times, limits, compliance requirements, and regulatory obligations.
A provider is not automatically entitled to receive or withdraw a deposit merely because a SureDeal code was claimed or a transaction was accepted. Release depends on the applicable SureDeal terms, transaction status, verification requirements, payment-provider rules, disputes, reversals, chargebacks, legal requirements, and other safeguards.
Where early payout or withdrawal is offered, SureDeal may require business or identity verification, additional documentation, risk review, reserves, delayed settlement, or other safeguards before funds are released.
6. No banking, investment, credit, or financial advice
SureDeal does not offer savings accounts, investment products, interest-bearing deposits, lending, credit, insurance, or financial advice unless a specific regulated service is separately introduced and clearly disclosed.
Money associated with a SureDeal is intended only for legitimate underlying transactions and may not be used as a stored-value account, remittance substitute, money-transfer mechanism between unrelated parties, or method to conceal the source or destination of funds.
7. Payment authorization, reversals, and chargebacks
You authorize the processing of payments, refunds, releases, and other payment instructions that you validly submit through SureDeal, subject to the rules of the applicable payment provider.
Payments may be delayed, rejected, reversed, frozen, refunded, or investigated because of suspected fraud, unauthorized use, payment-provider rules, chargebacks, disputes, sanctions or compliance screening, technical problems, legal process, or other risk controls.
SureDeal may recover amounts incorrectly released or credited, including amounts resulting from reversals, duplicate transactions, chargebacks, fraud, or processing errors, to the extent permitted by law and the applicable payment arrangement.
8. Verification and SureDeal AI Risk Assessment
SureDeal may provide provider verification, automated risk assessments, fraud-prevention checks, or other trust signals using information submitted to SureDeal and information lawfully available from public or third-party sources.
Risk scores, labels, reasons, and verification badges are informational safeguards and are not guarantees, certifications of future conduct, legal conclusions, or statements that a person or business is definitely legitimate or fraudulent.
Verified status means only that the provider satisfied the verification process required by SureDeal at that time. It does not guarantee quality, performance, legality, solvency, licensing, safety, or the outcome of a transaction.
9. Cancellations, completion, refunds, and disputes
Cancellation, refund, rescheduling, completion, and deposit-release rules may vary by SureDeal. Transaction-specific terms displayed and accepted by the parties form an important part of the transaction record.
If a dispute occurs, SureDeal may request communications, receipts, photographs, contracts, identification, proof of performance, timelines, or other relevant evidence. Funds may remain unreleased while a dispute, chargeback, fraud review, or legal issue is pending where permitted by applicable arrangements and law.
SureDeal may facilitate a resolution process, but it does not replace courts, regulators, law enforcement, arbitration, mediation, or other legal remedies available to the parties.
10. Prohibited and restricted use
You may not use SureDeal for unlawful, fraudulent, deceptive, abusive, sanctioned, prohibited, or sham transactions, money laundering, terrorist financing, unauthorized financial services, stolen property, false identities, fabricated bookings, or attempts to circumvent payment, verification, risk, or account controls.
SureDeal may refuse, suspend, cancel, restrict, investigate, or place additional controls on an account or transaction where reasonably necessary for security, fraud prevention, compliance, dispute management, payment-provider requirements, or protection of users and the platform.
11. Taxes, permits, and legal compliance
Customers and providers are responsible for their own taxes, registrations, permits, licenses, invoices, receipts, consumer obligations, and other legal requirements arising from the underlying transaction.
Using SureDeal does not make an otherwise unlawful transaction lawful and does not replace any registration, permit, license, insurance, professional qualification, or regulatory approval required for the underlying activity.
12. Platform availability and limitation of responsibility
SureDeal may modify, suspend, restrict, or discontinue features for maintenance, security, compliance, product changes, third-party outages, or other operational reasons.
To the maximum extent permitted by applicable law, SureDeal is not responsible for the quality, safety, legality, delivery, non-performance, representations, or conduct of customers or providers in the underlying transaction. Nothing in these Terms excludes or limits rights, warranties, liabilities, or remedies that cannot lawfully be excluded or limited.
13. Changes to these Terms
SureDeal may amend these Terms from time to time, including when the service, payment arrangements, legal requirements, risk controls, or business operations change.
Updated Terms may be posted in the app or otherwise communicated to you. Where a change is material or where notice or renewed acceptance is required by applicable law, SureDeal will provide appropriate notice before the change takes effect. Continued use after an updated version becomes effective may constitute acceptance where permitted by law.
The version displayed in the app should include its effective date once SureDeal is publicly launched.
14. Governing terms and contact
Transaction-specific terms, payment-provider terms, and other policies presented during a SureDeal may apply in addition to these Terms. If provisions conflict, the legally controlling terms for the particular service or transaction will apply.
Before public launch, this document should be finalized by Philippine counsel and should identify SureDeal's legal entity, registered or principal business address, support contact, governing law and venue, payment partners, regulatory status where applicable, and effective date.
